As of June 2, 2025, a significant change is coming for businesses that use trade names (also known as DBAs, “doing business as”) in Delaware. The Delaware Secretary of State is streamlining the trade name registration process, centralizing it under the Division of Corporations. If your business is incorporated in Delaware and operates under a different name, this update requires your immediate attention.

In 2022, nearly 79% of all U.S. IPOs were registered in the state. What’s Changing? 

Historically, businesses have filed trade names at the county level in Delaware—a decentralized and somewhat inconsistent process. Starting June 2, 2025, all trade name registrations for Delaware corporations and LLCs will be handled centrally through the Secretary of State’s Division of Corporations. 

Key points: 

• Mandatory re-registration: All existing trade names must be re-registered through the new system, regardless of prior county-level filings. 

• Online filing system: The new centralized system will provide an online portal, making it more accessible but also imposing stricter documentation and compliance requirements. 

• One-year transition: Businesses have from June 2, 2025, through June 1, 2026, to re-register existing DBAs. 

Failure to re-register may result in noncompliance, reputational issues, or difficulties with banking, contracts, and licensing.
