
As of June 2, 2025, a significant change is coming for businesses that use trade names (also known as DBAs, “doing business as”) in Delaware. The Delaware Secretary of State is streamlining the trade name registration process, centralizing it under the Division of Corporations. If your business is incorporated in Delaware and operates under a different name, this update requires your immediate attention.
Delaware is a cornerstone of corporate America. Thanks to its favorable legal environment and well-established corporate laws, it’s the preferred home for over 68% of Fortune 500 companies. In 2022, nearly 79% of all U.S. IPOs were registered in the state. Many businesses form in Delaware but operate in other states—making this process change relevant to organizations across the country, not just within Delaware’s borders.
Historically, businesses have filed trade names at the county level in Delaware—a decentralized and somewhat inconsistent process. Starting June 2, 2025, all trade name registrations for Delaware corporations and LLCs will be handled centrally through the Secretary of State’s Division of Corporations.
Failure to re-register may result in noncompliance, reputational issues, or difficulties with banking, contracts, and licensing.
